Commercial Terms of Service

These Commercial Terms of Service ("Commercial Terms") govern access to and use of the askFinz platform, APIs, and associated services (the "Services") by businesses, organisations, and professional users ("Customer"). They are provided by askFinz, an entity under Paul V | Holdings ("askFinz," "we," or "us"). By accessing the Services as a commercial or business customer, you agree to these Commercial Terms in addition to our Consumer Terms of Service, which apply where not superseded herein.

1. Definitions

  • "Customer" means the legal entity or organisation that has accepted these Commercial Terms.
  • "Authorised Users" means employees, contractors, or agents of the Customer permitted to access the Services under the Customer's account.
  • "Customer Data" means all data submitted to or processed through the Services by the Customer or its Authorised Users.
  • "Subscription" means the paid plan selected by the Customer.
  • "Order Form" means a written or digital order specifying the Services, fees, and other terms agreed between the Customer and askFinz.

2. Subscription & Access

  • Access to the Services is granted for the subscription term specified in the Order Form or selected during sign-up.
  • The Customer is responsible for all Authorised Users' compliance with these Commercial Terms and the Acceptable Use Policy.
  • Subscription limits (seats, API calls, storage) are as specified in the applicable plan. Exceeding limits may result in additional charges or throttling.
  • Subscriptions automatically renew at the end of each billing period unless cancelled in advance as per Section 11.

3. Fees & Payment

  • Fees are as specified in the Order Form or published plan pricing at the time of subscription.
  • Invoices are issued monthly or annually in advance as selected. Payment is due within 30 days of invoice date unless otherwise agreed.
  • Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
  • All fees are exclusive of applicable taxes (VAT, GST, sales tax). The Customer is responsible for applicable taxes in their jurisdiction.
  • askFinz reserves the right to adjust pricing with 60 days' written notice for subscription renewals.

4. Data Ownership & Licence

  • The Customer retains ownership of all Customer Data.
  • The Customer grants askFinz a worldwide, non-exclusive, royalty-free licence to process, store, and use Customer Data solely to provide and improve the Services.
  • askFinz may use anonymised, aggregated, or de-identified data derived from the Customer's use of the Services for product improvement, AI model training, analytics, security, marketing, and business development, provided such data cannot reasonably be used to identify the Customer or individual users.

5. Intellectual Property

  • askFinz retains all intellectual property rights in the Services, including software, AI models, algorithms, UI designs, and documentation.
  • The Customer is granted a limited, non-exclusive, non-sublicensable, non-transferable licence to use the Services during the subscription term for its internal business purposes.
  • Nothing in these Commercial Terms transfers ownership of any IP from askFinz to the Customer.

6. Confidentiality

Each party ("Receiving Party") agrees to keep confidential all non-public information disclosed by the other party ("Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information excludes information that: (i) is or becomes publicly known through no breach of this clause; (ii) was already known to the Receiving Party; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law.

7. Permitted Use & AI Features

Commercial Customers are permitted to use the Services for:

  • Internal business operations, research, analysis, and workflow automation.
  • Building internal tools and applications that integrate with the askFinz API.
  • Offering products or services to end customers that incorporate askFinz capabilities, subject to API terms and prior written consent for high-volume or white-label use.
  • Product development, testing, bug fixing, and security vulnerability assessment of Customer's own integrated products.
  • Sales enablement, market research, and competitive analysis (for internal use).

8. Warranties & Disclaimers

askFinz warrants that the Services will perform materially as described in the documentation during the subscription term. EXCEPT AS EXPRESSLY SET OUT HERE, THE SERVICES ARE PROVIDED "AS IS" AND askFinz DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (i) NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (ii) askFinz's TOTAL AGGREGATE LIABILITY TO THE CUSTOMER SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER TO askFinz IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

The Customer agrees to indemnify, defend, and hold harmless askFinz and its affiliates from any third-party claims, losses, or expenses (including reasonable legal fees) arising from: (i) Customer Data infringing third-party rights; (ii) the Customer's breach of these Commercial Terms; (iii) the Customer's violation of applicable law.

11. Term & Termination

  • The Commercial Terms commence on the subscription start date and continue for the term specified in the Order Form or selected plan, and automatically renew unless cancelled.
  • Either party may terminate for material breach with 30 days' written notice if the breach is not remedied within the notice period.
  • askFinz may suspend or terminate access immediately for violation of the Acceptable Use Policy, non-payment, or legal compliance requirements.
  • Upon termination, the Customer's access ceases and Customer Data will be deleted per our Privacy Policy and Data Processing Addendum.
  • No refunds are issued upon termination, except as required by law — see our Refund Policy.

12. Governing Law

These Commercial Terms are governed by the laws of the Netherlands. Disputes shall be resolved by binding arbitration in Amsterdam, Netherlands, unless otherwise required by applicable law.

13. Modifications

askFinz reserves the right to modify these Commercial Terms with 60 days' written notice. Continued use of the Services after the effective date of changes constitutes acceptance of the revised terms.
